# terms-and-conditions

> Bridge Labs terms of service governing the use of our AI-powered interview platform.

These Terms and Conditions ("Terms") govern your access to and use of the Bridge Labs platform and services ("Service"). By using Bridge Labs, you agree to be bound by these Terms.

## 1. Scope of Service and Use

Bridge Labs provides an AI-powered interview platform designed to assist organizations with candidate screening and assessment. The AI functions as a recommendation tool — not a decision-maker. All hiring decisions remain the sole responsibility of the client organization.

**Permitted use:** Bridge Labs may be used for lawful screening, assessment, and interview purposes in accordance with applicable employment law.

**Prohibited uses include:**

* Using AI scores or recommendations as the sole basis for hiring or rejection decisions
* Discriminatory screening practices in violation of applicable law
* Any use that violates the EU AI Act's requirements for high-risk AI systems in employment contexts
* Attempting to reverse-engineer, copy, or replicate the Bridge Labs AI models or scoring systems

## 2. Client Obligations and Compliance

By using Bridge Labs, you agree to:

**Employment law compliance:** Comply with all applicable federal, state, and local employment laws in your jurisdiction, including but not limited to equal employment opportunity laws and anti-discrimination statutes.

**NYC Local Law 144:** If you are an employer or employment agency operating in New York City, you are required to conduct a bias audit of any automated employment decision tool (AEDT) before use and annually thereafter. You agree to comply with NYC Local Law 144, including required bias audit disclosures and candidate notifications.

**GDPR / EU AI Act:** If you process personal data of individuals in the European Union, you agree to comply with the General Data Protection Regulation (GDPR) and the EU Artificial Intelligence Act, including providing appropriate disclosures to candidates and maintaining a lawful basis for processing.

**Candidate disclosure:** You are responsible for informing candidates that AI-assisted tools are used in your screening or interview process, as required by applicable law or regulation.

## 3. Intellectual Property

All AI models, algorithms, scoring rubrics, and platform technology underlying Bridge Labs are and remain the exclusive property of Bridge Labs, Inc.

**License:** Bridge Labs grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

**Anonymous data:** Bridge Labs may use anonymized and aggregated data derived from platform usage to improve its models and services. No personally identifiable information is used for this purpose without consent.

**Your content:** You retain ownership of any job descriptions, questions, rubrics, and other content you create within the platform.

## 4. Indemnification and Limitation of Liability

**Indemnification:** You agree to indemnify, defend, and hold harmless Bridge Labs, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

**Limitation of liability:** To the maximum extent permitted by applicable law, Bridge Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Bridge Labs' total aggregate liability shall not exceed the fees paid by you to Bridge Labs in the three (3) months preceding the claim.

**No warranty:** The Service is provided "as is" without warranty of any kind. Bridge Labs does not warrant that the Service will be uninterrupted, error-free, or that AI assessments will be accurate or free from bias.

## 5. Termination for Non-Compliance

Bridge Labs reserves the right to suspend or terminate your access to the Service immediately and without notice if:

* You violate these Terms
* Your use of the Service creates legal, regulatory, or reputational risk for Bridge Labs
* You fail to comply with applicable employment law, data protection law, or the requirements of the EU AI Act
* You use the Service in a manner that causes harm to candidates

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, indemnification, and limitation of liability.
